Company: Adsoft Online Ltd ("we", "us", "our")

Platform: VeriTalent, including all subdomains (e.g. tapi.veritalent.com), mobile interfaces, APIs, AI agents, dashboards, and related services (collectively, the "Platform").

1. Acceptance of Terms

By accessing, registering for, or using the Platform, you agree to be legally bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use the Platform.

You confirm that:

• You are at least 16 years of age or meet the minimum legal age in your jurisdiction.
• You have the authority to act on behalf of an organization, where applicable.
• You consent to the processing of data in accordance with our Privacy Policy.

2. Definitions

• Platform: VeriTalent and all associated products including VeriTalent ID, AI Card, TAPI Agent, verification services, dashboards, and APIs.
• User: Any individual or entity accessing the Platform.
• Talent: Individuals (professionals, students, interns, job seekers) using VeriTalent.
• Organization: Employers, recruiters, agencies, institutions, or entities using the Platform.
• Independent Talent Partner: Verifiable individual talent or professional with the legal or relational standing to issue recommendations or talent signals.
• VeriTalent ID: A unified, portable talent identity issued by the Platform.
• TAPI: Talent Activity & Performance Intelligence generated from verified data.
• AI Signals: Algorithmically generated competency, fit, and performance indicators.
• Verified Data: References, credentials, certifications, employment or academic records verified through the Platform.
• Content: Any data, documents, files, profiles, records, or submissions provided by Users.

3. Scope of Services

VeriTalent provides AI-powered talent intelligence and verification services including:

3.1 VeriTalent ID & AI Card

• Verified identity profile
• Credential and reference aggregation
• Competency signal visualization
• Shareable, evidence-backed career profile

3.2 TAPI Agent

• Conversion of learning, work and activity data into performance intelligence
• Competency signals and outcome reporting for institutions and employers

3.3 Employer & Recruiter Tools

• CV and profile screening
• AI-assisted ranking and fit scoring
• Reference and verification workflows

3.4 Verification Services

• Certificate, credential, and reference verification
• Institutional validation workflows

3.5 APIs & Integrations

Integrations with ATS, HRIS, LMS, and third-party systems

4. User Accounts

4.1 Registration & Accuracy

Users must provide accurate, current, and complete information.

4.2 Multi-Role Accounts

Users may operate multiple roles (Talent, Organization Admin, Talent Partner) under one account.

4.3 Linked Emails

Multiple emails may be linked to one account and must be verified.

4.4 Security

You are responsible for safeguarding login credentials and all activities conducted under your account.

5. User Content & Licensing

5.1 Ownership

Users retain ownership of all Content they upload.

5.2 License Grant

You grant Adsoft Online Ltd a worldwide, non-exclusive, royalty-free license to: Process, analyze, and display Content, Generate AI Signals and reports, Deliver verification and intelligence services. AI models are trained on aggregated, non-identifiable data only.

5.3 Accuracy & Integrity

Submission of fraudulent, misleading, or falsified information may result in suspension, termination, or legal action.

6. Verified Data & Issuance

• Organizations and Talent Partners may issue verified recommendations, references, or certifications.
• Verification outcomes are displayed transparently.
• Adsoft Online Ltd does not guarantee the truthfulness of third-party opinions or institutional evaluations.

7. AI Systems & Limitations

AI-generated outputs:

• Are probabilistic and evidence-based
• Do not constitute guarantees or professional certification
• Must not be used as the sole basis for critical decisions

Users agree to apply independent judgment when using AI Signals.

8. Payments & Subscriptions

• Fees may be charged in $ (USD) or local currency e.g ₦ (NGN) as enabled.
• Subscriptions may apply to talents, organizations, institutions, or partners.
• AI token usage is consumption-based.
• All payments are non-refundable unless required by law.

9. Prohibited Conduct

Users may not:

• Upload fraudulent or infringing content
• Impersonate another person or entity
• Manipulate AI systems or signals
• Reverse-engineer the Platform
• Violate privacy, IP, or data protection laws

10. Data Protection & Privacy

We comply with:

• Nigerian Data Protection Act (NDPA)
• GDPR (where applicable)
• Applicable international data protection standards

11. Intellectual Property

All Platform technology, algorithms, AI systems, and designs are the exclusive property of Adsoft Online Ltd.

12. Third-Party Services

Adsoft Online Ltd is not responsible for failures or changes in third-party platforms or integrations.

13. Availability & Maintenance

The Platform is provided on an "as-is" basis. We may modify or discontinue services at any time.

14. Suspension & Termination

Accounts may be suspended or terminated for violations, abuse, fraud, or misuse of AI systems.

15. Liability & Disclaimers

To the maximum extent permitted by law:

• VeriTalent does not guarantee hiring or employment outcomes
• We are not liable for indirect or consequential damages

16. Indemnification

You agree to indemnify Adsoft Online Ltd against claims arising from your misuse of the Platform or violation of these Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved in Lagos State, Nigeria.

18. Amendments

We may update these Terms periodically. Continued use constitutes acceptance.
